Most people who commission a technical due diligence report have never actually seen one. You sign a term sheet, the clock starts running, and at some point a document appears in the data room claiming to tell you whether the technology you are buying into is sound.
Ours runs to about 25 pages, which surprises people, usually in a good way. The alternative most of them have been shown is a machine-generated brick of static analysis output that nobody on the cap table will open twice.
Those pages come from two places: interviews with the people who actually build the product, and the code itself. The useful reports keep those separate, so a fact-checked observation never gets quietly dressed up as a judgement, and every judgement is labelled as one.
There is no score. A single number invites you to compare two companies that are nothing alike, and it buries the reasoning you actually needed.
The test of a report is simpler than any rubric. Does it change what you do on Monday?
