When people picture an M&A deal, they picture four parties. Buyer, seller, and a law firm on each side.
But on most European transactions above €20 million, and on nearly every PE to PE deal, there are at least two more people at the table. A broker and an underwriter.
The underwriter reads the DD report closely and decides from it who carries the loss if a warranty turns out to be false.
Which has consequences most people never see. How a finding is worded, how a risk is rated, what the report admits it could not check, all of it feeds into what an insurer will and will not cover.
Remarkably little has been written about it.
So this Thursday we launch The W&I Series, starting with a detailed guide to how W&I actually works, written with Raphaël Delsaux, a W&I broker at Howden. Then, over the coming weeks, interviews with underwriters, brokers, M&A lawyers and PE funds.
